Terms of Service

These Terms of Service govern your membership, access, and booking transactions within the SHAN Club ecosystem. By accessing our platform or using our concierge services, you agree to be bound by these Terms and all applicable laws of Singapore.

Section 1: Introduction and Acceptance of Terms

Welcome to SHAN Club (the "Club", "we", "us", or "our"), an exclusive membership-based travel and lifestyle platform operated under SHAN Holdings. These Terms of Service (these "Terms") constitute a legally binding agreement between SHAN Holdings and you, whether personally or on behalf of an entity ("you" or "Member"), concerning your access to and use of the shan.club website, our mobile applications, and the concierge services provided by us.

By applying for membership, maintaining an active membership account, or booking any travel experience or service through the Club, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using our services and must discontinue use immediately.

Section 2: Membership Eligibility and Accounts

2.1 Invitation and Application

Membership in the SHAN Club is private, individual, and granted solely by invitation or through a formal application process. SHAN Club reserves the absolute right to approve or reject any application for membership, or to revoke any existing membership at any time, for any reason, without liability or the obligation to provide justification.

2.2 Account Security and Registration

To access our services and curated itineraries, you must register for an account and provide accurate, current, and complete information as prompted by our registration forms. You are solely responsible for:

  1. Safeguarding your account credentials (passwords, passkeys, or OIDC identity tokens).
  2. Restricting access to your account from unauthorized devices.
  3. Notifying the SHAN Concierge immediately at [email protected] if you suspect any breach of security or unauthorized access to your profile.

You agree that all activities occurring under your account are your sole responsibility, and SHAN Club shall not be held liable for any loss or damage arising from your failure to maintain account confidentiality.

Section 3: Membership Tiers, Dues, and Payment Terms

3.1 Membership Tiers

The Club offers multiple membership tiers (including Voyager, Prestige, and Sovereign), each granting varying levels of access to bespoke itineraries, off-market property bookings, priority concierge assistance, and partner privileges. Details of active benefits are maintained dynamically within the Member dashboard.

3.2 Dues and Initiation Fees

Membership may be subject to an initiation fee and recurring annual or monthly dues ("Membership Fees"). All Membership Fees are non-refundable and must be paid in full to maintain active account privileges. We reserve the right to modify Membership Fees at any time, with at least thirty (30) days' prior notice to affected Members.

3.3 Payment Processing and Ledger Settlement

All payments for membership dues and booking transactions are processed securely through the SHAN Club integration engine.

  1. Currencies: Fees are denominated and settled in major international currencies, including US Dollars (USD), Euros (EUR), Singapore Dollars (SGD), or Vietnamese Dong (VND) where applicable.
  2. Transaction Integrity: Members agree to pay all charges incurred at the prices in effect when such charges are incurred. SHAN Club utilizes closed-loop ledger verification to ensure that payment flows are settled directly, minimizing middleman processing spreads. You authorize us to charge your selected payment method (credit card, bank transfer, or verified digital assets) for all applicable fees.

Section 4: Booking of Bespoke Stays, Charters, and Experiences

4.1 Role of SHAN Club

SHAN Club acts as an exclusive membership agency and facilitator. We curate and secure arrangements with highly vetted third-party service providers, including luxury hotels, private villa estates, yacht charter companies, private aviation operators, and local destination hosts (collectively, "Suppliers").

4.2 Supplier Terms and Conditions

When you book a stay, charter, or experience through SHAN Club, you are entering into a direct transaction with the respective Supplier. Consequently, your booking is subject to the specific terms, conditions, liability waivers, and policies of that Supplier, in addition to these Terms. SHAN Club will supply copy details of relevant Supplier Terms during the custom itinerary proposal stage.

Section 5: Cancellations, Modifications, and Refunds

5.1 Tailored Itinerary Cancellations

Due to the highly bespoke and exclusive nature of the experiences facilitated by the SHAN Club—which often involve private property buyouts, peak-season villa allocations, and custom assets—standard consumer cancellation policies do not apply. All bookings are subject to the individual cancellation schedule set by the Supplier and detailed in your specific booking confirmation.

5.2 Modification Requests

Any request to modify dates, guest counts, or itinerary details must be submitted in writing to the SHAN Concierge at [email protected]. While we will make reasonable efforts to negotiate favorable adjustments with Suppliers on your behalf, we cannot guarantee that modifications will be permitted or that additional fees will not apply.

5.3 Refunds

If a Supplier authorizes a refund under their specific cancellation policies, the refund will be credited back to your original payment method. SHAN Club will process authorized refunds within fourteen (14) business days of receiving the cleared funds from the Supplier. Any intermediary bank transfer fees, wire fees, or foreign currency exchange spreads shall be borne solely by the Member.

Section 6: Member Code of Conduct and Exclusivity

To preserve the prestige and peace of our community, all Members are required to adhere to our Code of Conduct:

  1. Respect and Tranquillity: Members must respect the physical properties, local staff, and environments of all Suppliers. Disruptive, illegal, or disrespectful behavior at any partner property or during any SHAN experience will result in immediate termination of the booking without refund and potential expulsion from the Club.
  2. Confidentiality: Members shall not disclose, publish, or share details of exclusive off-market properties, member-only event locations, or private rates on public forums or social media networks. SHAN Club is a private sanctuary built on discretion.

Section 7: Intellectual Property Rights

Unless otherwise indicated, the website, applications, and concierge platforms, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks"), are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws of Singapore and international treaties.

The stylized logo "SHAN", "SHAN Club", and "SHAN Holdings" are registered trademarks of SHAN Holdings. Members are granted a limited, non-exclusive, non-transferable license to access the platform solely for personal, non-commercial booking purposes.

Section 8: Disclaimer of Warranties

Our services and all content, materials, products, and bookings made available through the platform are provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied.

SHAN Club disclaims all warranties, express or implied, to the maximum extent permitted by law, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components, or that the services provided by independent Suppliers will meet your expectations.

Section 9: Limitation of Liability

In no event shall SHAN Holdings, its directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of our platform or services, even if we have been advised of the possibility of such damages.

Our maximum aggregate liability to you for any cause whatsoever, and regardless of the form of the action, will at all times be limited to the amount paid, if any, by you to SHAN Club for membership dues during the twelve (12) month period prior to the cause of action arising.

Section 10: Indemnification

You agree to defend, indemnify, and hold SHAN Holdings, our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, harmless from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of:

  1. Your breach of these Terms.
  2. Any violation of Supplier terms or local laws during a travel experience.
  3. Your violation of the rights of a third party, including but not limited to intellectual property rights.

Section 11: Governing Law and Dispute Resolution

11.1 Governing Law

These Terms and your use of our services are governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law principles.

11.2 Dispute Resolution

Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre ("SIAC") in accordance with the Arbitration Rules of the Singapore International Arbitration Centre ("SIAC Rules") for the time being in force, which rules are deemed to be incorporated by reference in this clause.

  1. The seat of the arbitration shall be Singapore.
  2. The Tribunal shall consist of one (1) arbitrator.
  3. The language of the arbitration shall be English.

Section 12: Severability and Entire Agreement

These Terms and any policies or operating rules posted by us on the platform constitute the entire agreement and understanding between you and us. Our failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision.

If any provision or part of a provision of these Terms is determined to be unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these Terms and does not affect the validity and enforceability of any remaining provisions.
